The new Companies Act 2006 came fully into force on 1st October 2009. One of the most visible changes which took place is in the way limited companies interact with Companies House.
Form Changes
Some of the changes which will affect limited companies include:- Initial Company Formation forms - currently Forms 10 and 12 are used when a company is first created, however from 1st October 2009, you must use Form IN01
- Director & Secretary forms - the familiar forms 288a, 288b and 288c will be replaced with a variety of new forms, depending on your company structure.
- Annual Return - the traditional form 363a will be replaced with form AR01
- Change of Registered Address - old form 287 will be replaced with form AD01
- Change of Accounting Reference Date - old form 225 will be replaced with form AA01
There are also significant changes to the way Memorandum and Articles of Association are treated under the new rules.
According to the new guidelines, private firms filing less than a month past their due date will attract a £150 penalty; those submitting before three months overdue will be liable for a £375 fine; while any submission up to six months overdue will be subject to a £750 charge. Businesses that neglect to file their accounts with Companies House for more than six months after the due date will be given a £1,500 penalty.
